PNL Holdings, LLC – Physician Terms of Service and Indemnity Agreement

Effective Date: MAY 29, 2025

By registering on, accessing, or purchasing from https://pnl.webmarkdev.com/, you (the “Physician”) agree to be legally bound by this Terms of Service and Indemnity Agreement (“Agreement”) with PNL Holdings, LLC, a Wyoming limited liability company (“Company”).

Eligibility and Physician Verification

  1. Physician affirms they are a duly licensed medical practitioner authorized to purchase and administer peptide products in accordance with all applicable federal, state, and local laws.
  2. Physician agrees to provide the Company with the following:
    • Full legal name
    • Active Physician National Identifier (PNI) number
    • State medical license and license number
    • Government-issued photo identification
  3. Physician certifies that all information provided is current, accurate, and complete.

Product Use Disclaimer

  1. The Company sells peptide products strictly for physician-directed clinical use. These products are not FDA-approved for general therapeutic applications.
  2. The Company makes no representations regarding safety, efficacy, or intended use. Physician assumes full responsibility for clinical judgment and patient outcomes.
  3. Regulatory Compliance
    • Physician assumes full responsibility for compliance with all federal, state, and local laws and regulatory requirements related to possession, use, storage, and administration of purchased products.
    • Company disclaims any duty to supervise or verify Physician’s compliance.

Indemnification and Assumption of Risk

  1. Physician assumes full legal liability for all actions related to the use of peptide products.
  2. Physician agrees to indemnify, defend, and hold harmless the Company and its members, managers, employees, contractors, and agents from and against any and all claims, damages, liabilities, losses, and expenses (including attorney’s fees) arising from:
    • Physician’s use or misuse of any products;
    • Violation of applicable laws;
    • Any third-party claims, including patients or governmental entities.

Waiver and Release

  1. Physician hereby releases and waives all rights to pursue any claim against the Company arising from:
    • Adverse reactions, outcomes, or injuries;
    • Misuse or off-label use of products;
    • Enforcement or regulatory actions.

HIPAA and Patient Privacy

  1. Physician acknowledges that the Company is not a covered entity under HIPAA and disclaims all liability for patient information.
  2. Physician shall not transmit or share Protected Health Information (PHI) with the Company.

Governing Law and Dispute Resolution

  1. This Agreement shall be governed by the laws of the State of Wyoming.
  2. Any disputes shall first be submitted to mediation in Sheridan County, Wyoming, and if unresolved, to binding arbitration in the same venue.
